Code Of Ethics

This code of ethics embodies the commitment of Brownstone Companies Inc. and it’s subsidiaries to conduct our business in a professional and ethical way in accordance with all applicable laws, rules and regulations. All Board of Directors, officers, employees and subcontractors are expected to adhere to these principles and procedures set forth in this code that applies to them.

Commitment to Clients

 

BCI’s primary responsibility is to provide their clients with professional and competent services. BCI understands that many of our services are critical to the success of the client and therefore every effort should be made to contribute to the success of the client. Generally, client interests are primary except in the case of a client involved in illegal or unethical behavior.

Competence

 

Personnel associated with BCI should provide services and represent themselves as competent only within the boundaries of their education, training, licensing, certifications and relevant experience. Personnel associated with BCI should never attempt to provide services for which they are not qualified without qualified supervision.

Compliance

 

Directors, officers, employees and sub-contractors of BCI shall comply with all governmental laws, rules and regulations in all of their activities. All directors, officers, employees and sub-contractors of BCI will avoid any activity that could lead to the involvement of BCI, if officers, employees or sub-contractors in any type of unlawful activity.

Conflicts of Interests

 

Directors, officers, employees and sub-contractors of BCI will avoid any conflict of interest that may result in personal influences or relationships that would affect their ability to act in the best interest of BCI and their clients.

Confidentiality of Information

 

Directors, officers, employees and subcontractors will protect BCI and its client’s information as well as that of suppliers, vendors and BCI personnel. BCI considers all of its information and the information of its clients to be proprietary and confidential. As such, all information is considered critical to the operations of BCI and its clients and therefore release of any such information is prohibited.

Corporate Opportunities

 

Directors, officers, employees and subcontractors of BCI owe a duty to BCI to advance its legitimate business interests when the opportunity arises. As such, directors, officers, employees and subcontractors are prohibited form taking for themselves or a related third party a business opportunity that is discovered through their relationship with BCI or through the use of BCI property.

Cultural Respect and Diversity

 

BCI is committed to respecting the culture and diversity of different people and countries. All directors, officers and employees of BCI will strive to respect and understand the variations of business and societal culture that exist within its clients, suppliers, vendors and operating locations.

Employment Practices

 

BCI is committed to maintaining a work environment that is free of any discrimination or harassment and is safe for all employees.
